STANDARD TERMS & CONDITIONS OF SALE

Premier Commercial Ventilation Ltd

By placing an order with Premier Commercial Ventilation Ltd (“the Company”), the Buyer acknowledges and accepts these Terms & Conditions. Any goods, works, or services not expressly listed in the quotation are excluded.

 

1. PAYMENT TERMS

1. Payment of the deposit confirms the Buyer’s full acceptance of these Terms & Conditions.

2. Labour elements of the project will be prioritised and invoiced first. Any extra time required due to unexpected site conditions, delays, or issues outside the Company’s control will be charged at the agreed labour rates.

3. A final invoice will be issued for the outstanding balance. The balance must be paid in full no later than 1 day before delivery or completion of works. Overdue sums will accrue interest at 5% per day, and the Company may suspend work where access or progress is affected by non-payment.

4. All goods remain the property of Premier Commercial Ventilation Ltd until paid for in full.

5. Standard working hours: Monday–Friday, 08:00–17:00. Out-of-hours or additional labour will be charged at £50–£125 per hour depending on tier and area.

 

2. ITEMS NOT INCLUDED IN THE QUOTATION

Unless specifically written into the quotation, the following are excluded:

- Canopy skirts, trims, infill panels

- Odour control or filtration systems

- Acoustic/noise management works

- Planning applications or approvals

- Notifications to local authorities

- Adjustments required due to uneven building surfaces

- Specialist or structural fixings

- System balancing or commissioning

- Electrical works of any kind

- Heating elements or batteries for air systems

- Gas works, valves, pipework

- Plumbing, drainage or water supply changes

- Builder’s works, openings, weatherproofing

- Structural alterations

- Floor protection or site protection

- Lifting equipment, cranes, scaffolding

- Safety barriers or temporary works

- Thermal duct insulation

- Boarding or ceiling void access flooring

- Protection of equipment after completion

- Fire suppression systems

- Strip-out or removal of existing systems

- Any item not specified in the quotation

 

3. GENERAL TERMS & DEFINITIONS

1. The Company: Premier Commercial Ventilation Ltd, BB1 5NJ

2. The Buyer: The person or organisation entering into a contract with the Company.

3. The Contract: The agreement between the Company and the Buyer based on these Terms.

4. All orders are accepted strictly on these Terms.

5. No variation is valid unless confirmed in writing.

 

4. PRODUCT & SERVICE INFORMATION

1. All illustrations, drawings, measurements, and descriptions are for guidance only.

2. The Company may update or alter specifications without notice.

 

5. ORDERS

1. The Buyer is responsible for checking order accuracy.

2. Accepted orders cannot be cancelled without covering Company costs.

3. The Buyer is responsible for managing authorised ordering personnel.

4. Order confirmations will be sent to the Buyer’s nominated email.

 

6. PRICING

1. Goods/services are charged according to the price list at despatch.

2. All prices exclude VAT.

3. Standard delivery included to most UK mainland areas.

4. Prices may change if material or transport costs increase.

5. The Company is not bound by pricing errors on its website.

 

7. PAYMENT REQUIREMENTS

1. All invoices must be paid by the due date.

2. The Company may suspend work for non-payment and apply interest at 2.5% above RBS base rate.

3. Debt recovery costs may be charged to the Buyer.

 

8. DELIVERY

1. Delivery dates are estimates only; time is not of the essence.

2. No liability for delays unless agreed in writing.

3. Additional charges may apply for restricted or unsafe access.

4. Failed delivery attempts may incur storage or redelivery fees.

5. Buyer must report any delivery issues within 24 hours.

 

9. RETURNS

1. Cancellations may incur fees.

2. Returns accepted only with prior approval and within 28 days.

3. Goods must be unused, undamaged, and returned in original packaging.

4. A 25% restocking fee applies to non-fault returns.

 

10. RISK & TITLE

1. Risk passes to the Buyer on delivery.

2. Legal title remains with the Company until all payments are made.

3. Buyer must store goods safely and clearly identifiable.

4. The Company may recover goods if payment is not made.

 

11. WARRANTY & LIABILITY

Warranty:

- 12-month warranty

- Covers defects in materials/workmanship

- Excludes misuse, improper installation, lack of maintenance or modifications

 

Liability:

- Liability limited to the value of goods/services supplied

- No liability for loss of profit, business, downtime, or indirect loss

 

12. FORCE MAJEURE

The Company is not liable for delays caused by events beyond its control, including weather, strikes, supply chain disruption, government action, or similar events.

 

13. SEVERABILITY

If any term is deemed unenforceable, the remainder continues in effect.

 

14. ENTIRE AGREEMENT

These Terms constitute the full agreement between the parties.

 

15. GOVERNING LAW

Contracts are governed by the laws of England and Wales.

 

16. WARRANTY CONDITIONS

- Installation must be carried out by qualified engineers

- Utilities must meet current regulations

- Regular cleaning/maintenance required

- Annual servicing recommended

- Warranty void if unapproved parts/cleaners used

- Service visits Mon–Fri 08:30–17:00; aborted calls may be charged

 

Third-Party Installer Terms & Conditions

Premier Commercial Ventilation Ltd – Third-Party Installation Disclaimer

Premier Commercial Ventilation Ltd supplies commercial kitchen extraction equipment, canopies, and ductwork components as a supply-only business. Where installation is carried out by a third-party contractor or installer not directly employed by Premier Commercial Ventilation Ltd, the following terms apply:

1. Supply Only Premier Commercial Ventilation Ltd's responsibility is limited to the supply of goods only. We are not responsible for the installation, commissioning, or ongoing maintenance of any equipment unless explicitly agreed in writing prior to works commencing.

2. Third-Party Installers Any third-party installer engaged to fit or commission equipment supplied by Premier Commercial Ventilation Ltd does so independently. We have no control over the workmanship, methods, or compliance standards applied by third-party installers and accept no liability for any issues arising from their work.

3. Compliance It is the responsibility of the installing contractor and/or the end client to ensure all installation works are carried out in accordance with relevant standards including but not limited to DW/172, DW/144, and all applicable building regulations, fire safety legislation, and health & safety requirements.

4. Warranty Product warranties apply to the goods supplied only and will be rendered void if equipment is installed incorrectly or in a manner inconsistent with manufacturer guidelines or relevant industry standards.

5. Liability Premier Commercial Ventilation Ltd shall not be held liable for any loss, damage, injury, or consequential costs arising from installation carried out by a third party. Our total liability in any circumstances is limited to the value of goods supplied.

6. Recommendation We strongly recommend that all installation works are carried out by a suitably qualified and competent contractor with relevant industry experience and appropriate insurance cover.
